These Terms of Service ("Terms") govern your access to and use of our services, including content creation, social media management, and advertising campaign execution (collectively, the "Services"). By engaging with our Services, you agree to be bound by these Terms. If you do not agree, you must refrain from using our Services.
1.1 Content Creation: We design, develop, and deliver marketing materials such as social media posts, graphics, videos, and written content customized to your brand’s needs.1.2 Social Media and Advertising Campaigns: We manage and execute advertising campaigns across various platforms (e.g., Facebook, Instagram, Google, and others) to enhance your brand’s visibility and engagement.1.3 Automated AI Funnels: We bring all contacts and leads we generate for you into a dedicated CRM system that uses AI and automated processes to respond to and follow up with leads from advertising and marketing campaigns.1.4 Custom Scope of Work: A detailed description of the Services provided, deliverables, timelines, and any specific client requirements will be outlined in a separate agreement or statement of work ("SOW").
You must be at least 18 years of age and legally capable of entering into binding contracts to use our Services. By engaging with us, you confirm that you meet these eligibility criteria.
3.1 Provision of Information: You agree to provide accurate, complete, and timely information required for the execution of our Services. Delays caused by missing or inaccurate information may impact deliverables.3.2 Approvals and Feedback: You are responsible for reviewing deliverables and providing feedback or approval within agreed timelines.3.3 Compliance with Laws: You warrant that your use of the Services will comply with all applicable laws, regulations, and industry standards.
4.1 Fees and Invoicing: Fees for our Services will be outlined in the SOW or a separate invoice. Payments are due as specified in the invoice terms.4.2 Late Payments: Unpaid balances may incur a late fee or interest at the maximum rate allowed by law.4.3 Refunds: All payments are non-refundable unless explicitly stated otherwise in the SOW or agreed upon in writing.
5.1 Ownership of Content: Upon full payment, the rights to the content created by Ignyte Marketing LLC will transfer to you. However, we retain the right to showcase completed work in our portfolio or for marketing purposes unless explicitly prohibited by agreement.5.2 Pre-Existing Materials: Any pre-existing materials or assets used in deliverables remain the sole property of Ignyte Marketing LLC.5.3 Client Materials: You grant us a non-exclusive, royalty-free license to use your trademarks, logos, or other intellectual property solely for the purpose of providing the Services.
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement, except as required by law or with the express written consent of the other party.
To the maximum extent permitted by law, Ignyte Marketing LLC will not be liable for indirect, incidental, consequential, or punitive damages, including but not limited to loss of revenue, profits, or data, arising from your use of our Services.Our total liability for any claims related to the Services will not exceed the amount paid by you for the specific Services in question.
8.1 By Either Party: Either party may terminate the engagement by providing 30 days' written notice.8.2 Termination for Cause: We may terminate the engagement immediately if you breach these Terms, fail to pay for Services, or engage in illegal or unethical practices.8.3 Effect of Termination: Upon termination, you must pay for all Services rendered up to the effective date of termination.
These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in Colorado, unless both parties agree to an alternative resolution method.
We reserve the right to update or modify these Terms at any time. Changes will become effective upon posting the updated Terms on our website. Your continued use of our Services constitutes acceptance of the revised Terms.
